Finalisation announcement confirming the important dates and times associated
with the reverse take-over of the company
Further to the announcements released on SENS on 30 January 2006, 24 March 2006
and 13 April 2006, shareholders are advised that registration of the special
resolutions relating to the implementation of the reverse take-over of the
company ("the reverse take-over") has been completed. Shareholders are
accordingly advised that the important dates and times relating to the reverse
take-over, as set out in the announcement of 24 March 2006, will apply.
Shareholders are also advised that, as described in the circular regarding the
reverse take-over dated 20 March 2006 ("the circular"), all the assets and
liabilities of the company are to be transferred to a subsidiary of Heritage and
the shares in such subsidiary company distributed to Heritage shareholders as a
dividend in specie ("the dividend in specie") prior to the implementation of the
reverse take-over. Heritage Warehousing Property Limited ("Heritage
Warehousing") has now been identified as the appropriate subsidiary company as
opposed to Heritage Home and Leisure (Pty) Limited, as set out in the circular.
The dividend in specie will therefore comprise 1.15190 shares in Heritage
Warehousing for every 100 (unconsolidated) shares held in Heritage.
