CAUTIONARY ANNOUNCEMENT
Shareholders are referred to the cautionary announcements published on 6 May and
20 June 2005. Hercol is currently negotiating with Reader`s Digest Inc. USA to
extend the term of its current Books, Music and Home Entertainment licence. It
is also negotiating to divest itself of its Reader`s Digest magazine licence and
for Readers Digest to purchase the magazine subscription list. If successful,
the negotiations will lead to Hercol being able to substantially reduce its
gearing and to concentrate and expand its core direct mail marketing activities,
which has historically been its focus.
Accordingly shareholders are advised to continue to exercise caution when
dealing in the company`s securities until a further detailed announcement is
made.
