APPROVAL BY THE COMPETITION COMMISSION OF THE ACQUISITION OF ALEX WHITE
Shareholders are advised that the Competition Commission has approved, without
any conditions, the acquisition by Astrapak Limited of Alex White by way of a
scheme of arrangement ("the scheme") in terms of Section 311 of the Companies
Act, 1973 (Act 61 of 1973), as amended, ("the Act").
The implementation of the scheme is still subject to, and will only become
operative upon, the fulfilment of the following conditions precedent:
- the scheme is sanctioned by the High Court of South Africa (Witwatersrand
Local Division) ("Court"); and
- the Registrar of Companies registers a certified copy of the Order of Court
sanctioning the scheme, in terms of the Act.
The salient dates and times contained in the announcement issued on 30 March
2006 and in the circular remain unchanged. A further announcement regarding the
fulfilment of the conditions precedent, the outcome of the application to Court
(being Tuesday, 30 May 2006), and any update to the salient dates relating to
the implementation of the scheme will be released on SENS and published in the
press on or about Tuesday, 30 May 2006.
