SANCTIONING BY THE HIGH COURT OF THE SCHEME OF ARRANGEMENT
Shareholders are advised that the scheme of arrangement in terms of Section 311
of the Companies Act, 1973 (Act 61 of 1973), as amended, ("the Act") proposed by
Astrapak Limited ("Astrapak") between Alex White and its shareholders ("the
scheme"), in terms of which Astrapak (or a wholly-owned subsidiary) will acquire
all of the shares in the issued share capital of Alex White, was sanctioned by
the High Court of South Africa (Witwatersrand Local Division) ("Court") on
Wednesday, 31 May 2006.
A certified copy of the Order of Court sanctioning the scheme will be lodged
with the Registrar of Companies on Thursday, 1 June 2006 and is expected to be
registered shortly thereafter. Apart from the Registrar"s registration of the
Order of Court, all other conditions precedent relating to the scheme have been
fulfilled.
The scheme will be implemented according to the timetable and details contained
in the announcement and in the circular to Alex White shareholders of 30 March
2006. Shareholders are reminded that the last day to trade to participate in the
scheme will be Thursday, 8 June 2006 and the operative date of the scheme will
be Monday, 19 June 2006.
