DEALING IN SECURITIES BY A DIRECTOR
In compliance with section 3.63 of the Listings Requirements of JSE Limited
("the Listings Requirements") we hereby advise that Mr M R Bower, Executive
Director of Edcon, has purchased 223 300 Edcon shares over which options had
been issued to him. The details of these transactions are as follows :
A. Nature of Transaction: Purchase pursuant to the exercise of options
Transaction Date : 14 June 2006
Class of Shares : Ordinary shares of 1 cent each
Number of Shares : 53 600
Nature of interest : Directly beneficial
Option Strike Price : 310 cents per share
Option Strike Date : 20 May 2002
Vesting Periods : 30% after three years from the option strike date, a
further 30% after four years from the option strike date, and the balance after
five years from the option strike date, provided all options are purchased by no
later than 10 years after the option strike date.
B. Nature of Transaction: Purchase pursuant to the exercise of options
Transaction Date : 14 June 2006
Class of Shares : Ordinary shares of 1 cent each
Number of Shares : 169 700
Nature of interest : Directly beneficial
Option Strike Price : 580 cents per share
Option Strike Date : 21 May 2003
Vesting Periods : One-third two years after the option strike date, a
further one-third three years after the option strike date and the balance four
years after the option strike date, provided all options are purchased by no
later than 10 years after the option strike date.
In terms of section 3.66 of the Listings Requirements prior clearance for Mr
Bower to deal in the above securities has been obtained from Mr W S MacFarlane,
non-executive Chairman of the Board of Directors of Edcon.
