REPORT ON PROCEEDINGS AT GENERAL MEETING
Shareholders are referred to the announcement and circular dated 31 May 2006
regarding a proposed cash distribution to Mr Price shareholders of 56,7 cents
per ordinary and unlisted B ordinary share ("share"), in lieu of a final
dividend, by way of a reduction of the share premium account ("the
distribution").
At the general meeting of Mr Price shareholders held today, 15 June 2006, the
requisite majority of shareholders approved the ordinary resolutions proposed at
the meeting.
The salient dates for the distribution remain as follows:
Last day to trade `cum" the Friday 23 June 2006

Shares trade `ex" distribution Monday 26 June 2006
Record date Friday 30 June 2006
Payment to shareholders on Monday 3 July 2006
Shareholders may not dematerialise or rematerialise their share certificates
between Monday 26 June 2006 and Friday 30 June 2006, both days inclusive.
