REPORT ON PROCEEDINGS AT GENERAL MEETING                                        
At the general meeting of Spar shareholders held today, 27 June 2006, the       
requisite majority of shareholders approved the special resolution authorising  
the Company and/or its subsidiaries to acquire the Company"s ordinary shares, by
way a general repurchase.                                                       
The special resolution will be lodged for registration with the Registrar of    
Companies in due course.
