NOTICE OF FINAL CONVERSION DATE OF THE FLOATING RATE PARTIALLY SUBORDINATED
UNSECURED REDEEMABLE CONVERTIBLE DEBENTURES ("DEBENTURES")
The terms and conditions of the debentures set out in the circular to
shareholders, dated 25 August 2003, provide for the Company to fully redeem all
outstanding debentures on the third anniversary of their issue (i.e. the Final
Maturity Date, being 18 September 2006).
Debentures may be converted into ordinary shares, at the option of the debenture
holder, no later than 15 days before the Final Maturity Date, subject to no less
than 42 calendar days nor more than 60 calendar days notice being given.
Debenture holders wishing to convert their debentures should accordingly note
the following dates and information:
Last date on which debenture holders Friday, 21 July 2006
may issue a conversion notice to the
Company:
Final conversion date: Friday, 1 September 2006
Conversion Rate: 1 debenture: 33.33333 ordinary
shares.
Conversion Price: R30 per ordinary share. All new
shares issued will rank pari passu
with the existing ordinary shares in
issue.
Number of debentures to be All or some provided the debentures
converted: in respect of which conversion is
required must be a whole number.
Surrender of debenture certificates: Must be surrendered at least seven
days prior to the Conversion Date,
failing which no conversion will be
effected.
Status of conversion notice: A conversion notice is irrevocable.
Interest payable on debentures to be Interest will be payable accrued
converted: from and including the immediately
preceding Interest Payment Date
(i.e. from 20 March 2006).
