LISTING OF 424,446 SHARES
Shareholders are referred to the announcement made on 14 July 2006 regarding the
approval of the specific issue of 424,446 shares of US$1.50 each for cash of
US$2.25 per share ("the Issue") and the application for the listing of the new
shares on the Luxembourg Stock Exchange and JSE Limited.
The 424,446 new shares have today been listed on the JSE at a premium to the
ruling price of R12.
The pro forma financial effects, on a consolidated basis, of the Issue are shown
below, based on the unaudited interim results for the period ended 28th February
2006. The pro forma financial effects, which are the responsibility of the
directors, have been prepared for illustrative purposes only and because of
their nature may not give a true picture of Conafex"s financial position and
results of operations, nor the effect or impact of the specific issue of new
shares for cash going forward.
