DECLARATION OF SPECIAL INTERIM DISTRIBUTION
Further to the announcement published on 19 June 2006 regarding the scheme of
arrangement between Metboard and its linked unitholders ("the scheme"), notice
is hereby given of the special interim distribution of 11,08 cents per linked
unit, comprising special interim dividend number 20 of 0,011 cent per share and
debenture interest payment number 20 of 11,069 cents per debenture, for the
period 1 April 2006 to 30 June 2006. The special interim distribution represents
an increase of 11,9% compared to the pro-rated distribution of 9,9 cents for the
comparable period in the previous year, being half of the 19,80 cents
distributed for the six months ended 30 September 2005.
The special interim distribution of 11,08 cents per linked unit will be payable
to Metboard linked unitholders in accordance with the abbreviated timetable set
out below:

Last date to trade "cum" the special distribution Friday, 11 August
Linked units commence trading "ex" the special
interim distribution Monday, 14 August
Record date to participate in the special
interim distribution Friday, 18 August
Payment of the special interim distribution Monday, 21 August
In terms of the scheme, Metboard linked unitholders will receive 1 new
Growthpoint linked unit for every 1,9 Metboard linked units held, rounded to the
nearest whole number. The salient dates applicable to the exchange of linked
units are set out below:

Suspension of Metboard linked units (from
commencement of business) Monday, 14 August
The scheme consideration is posted to
certificated scheme participants or, failing receipt of
documents of title on or before the consideration
record date, within five business days
of receipt thereof by the transfer secretaries Monday, 21 August
Dematerialised scheme participants have their
accounts held at their CSDP or broker credited
with the scheme consideration Monday, 21 August
Termination of the listing of Metboard on the
JSE Limited Monday, 21 August
Metboard linked units may not be dematerialised or rematerialised after Friday,
11 August 2006.
