SANCTIONING OF THE SCHEME OF ARRANGEMENT
Introduction
Further to the announcements of 19 May 2006, 15 June 2006 and 20 July 2006, Arch
Equity shareholders are advised that the scheme of arrangement in terms of
section 311 of the Companies Act (61 of 1973)(as amended), proposed by PSG Group
Limited ("PSG") between Arch Equity and all of its ordinary shareholders
(excluding PSG, any of its subsidiaries and Jasmyn Corporate Holdings
(Proprietary) Limited ("scheme members") for the purpose of implementing the
merger between PSG and Arch Equity has been sanctioned by the High Court of
South Africa (Cape of Good Hope Provincial Division) on Tuesday, 1 August 2006.
Fulfilment of conditions
On registration of the Order of Court by the Registrar of Companies, which
registration is expected to take place on Wednesday, 2 August 2006, the final
condition precedent to which the scheme is subject will have been fulfilled.
Remaining salient dates
The salient dates and times as announced on Thursday, 20 July 2006, remain
unchanged. The operative date of the scheme is therefore expected to be Monday,
14 August 2006, on which date the accounts of all dematerialised scheme members
will be credited and share certificates will be posted to those certificated
scheme members who have surrendered their documents of title.
