The Scarce Skills Retention Plan is a cash settled plan with a three year
vesting period and no "good leaver" early vesting provisions. The awards
are not subject to performance conditions and are intended to provide a
significant retention hold over key senior managers who possess rare skills
critical to our business.
The executive directors of Lonmin Plc are not eligible to participate in
this Plan, which has not been proposed for approval by shareholders.
