PROPOSED RENOUNCEABLE RIGHTS OFFER
The directors of PSG Group have resolved to undertake a partially underwritten,
renounceable rights offer of 12 696 447 ordinary shares with a par value of 1
cent each at an issue price of 1700 cents per share ("the rights shares") to the
shareholders of PSG Group recorded as such in the share register of the company
at the close of trade on Friday, 6 October 2006 in the ratio of one rights share
for every 12 shares held ("the rights offer"). The total amount to be raised is
R215,8 million. The last day to trade in PSG Group shares in order to qualify to
participate in the rights offer will be on Friday, 29 September 2006. PSG Group
shares will commence trading ex-rights on the JSE at the commencement of trading
on Monday, 2 October 2006. The aforementioned dates are subject to amendment and
any changes will be announced on SENS and published in the press.
The rights offer is subject to the requisite majority of shareholders approving
the required resolutions at a general meeting of PSG Group shareholders. A
circular, containing a notice of the general meeting, is being prepared and will
be dispatched to shareholders on or about 31 August 2006. Upon the approval of
the rights offer by the JSE and the registration of the rights offer circular by
the Registrar of Companies, the underwriting agreement entered into between PSG
Group and the underwriter in respect of the rights offer shall become
unconditional.
A detailed circular dealing with the rights offer will be posted to shareholders
on or about 9 October 2006. A further announcement will be made in due course
which will set out all the important dates and times in respect of the rights
offer.
