shareholders on 14 August 2006 relating to;
- an increase in the authorised share capital and subsequent capitalisation
issue of 6,720,000 shares of US$1.50 each;
- changing the Company"s name; and
- the application for the listing of the new shares on the Luxembourg Stock
Exchange, London Stock Exchange and JSE Limited;
did not include a form of proxy.
Shareholders are advised that a form of proxy is available in electronic format
on the City-Group website at http://www.city-group.com/clients.php or, in the
case of those shareholders registered on the South African Register, from
Monteagle"s Durban office.
