Results of general meeting and specific issue of participatory interests
for cash
1. INTRODUCTION
Participatory interest ("PI") holders are advised that, at the general
meeting of PI holders held on Tuesday, 22 August 2006, all the
resolutions necessary to implement the acquisition of a portfolio of
properties, the black economic empowerment transaction and the
specific issue of PIs for cash were approved by the requisite majority
of PI holders.
2. ISSUE AND LISTING OF NEW PIs
In terms of the specific issue of PIs for cash, Emira will issue:
3 187 331 PIs to Momentum Group Limited at R10.50 per PI; and
13 698 671 PIs to Micawber 410 (Proprietary) Limited at R8.03 per
PI.
It is expected that the PIs to be issued in terms of the specific
issue for cash will be listed on the JSE Limited with effect from
Wednesday, 23 August 2006.
