OPERATIONS
Gold Reef City
Gold Reef City Casino"s performance saw a 16,0% increase in revenue to R447,2
million, driven by continued strong trading. The Theme Park posted an 11,3%
increase in revenue off a reduced base, contributing to overall growth for Gold
Reef City of 15,8% to R467,9 million.
Gold Reef City Casino achieved EBITDA of R165,8 million and posted an EBITDA
margin on revenue of 37,1%. The casino gained 1% market share in the highly
competitive Gauteng region on a comparable basis (taking into account the change
of borders of Gauteng which incorporated an additional casino).
Shortly after the period, the casino embarked on a comprehensive refurbishment
plan which is expected to be completed in the third quarter of 2007. Plans
include renovations to the gaming floor, casino area and restaurants. Casino
access points from the covered parking area will also be improved and a new
smoking facility is under construction. The casino has implemented steps to
mitigate any short-term inconvenience to patrons in the interests of an enhanced
long-term offering.
Trading at the Theme Park remained subdued while it successfully focused on
rebuilding a solid platform for future growth. However special events during the
period exceeded expectations in attracting patrons.
The continued improvement plan was marked with the successful opening of the new
4D cinema and the major attraction - The Tower of Terror - is expected to open
towards the end of the year. Further plans include new facilities and increased
capacity at the Theme Park.
Gold Reef has issued summons against M-Net and Carte Blanche for damages
suffered as a result of incorrect negative publicity aired during March 2005.
The case is expected to be heard during 2007.
Golden Horse Casino
Strong trading boosted the casino"s revenue 22,8% to R96,7 million, while EBITDA
rose 27,8% to R42,5 million. The casino maintained a good EBITDA:Revenue ratio
of 44,0%.
Upgrades and new developments, which will ultimately include a revitalised
casino floor and new restaurants, continued during the period. The first phase
is due for completion by year-end.
Casino Mykonos
The casino continued to trade exceptionally well with revenue up 24,8% to R49,5
million, driven by ongoing macro-economic growth in the region. Increased EBITDA
of R21,7 million reflected a higher 43,9% margin on revenue.
Garden Route Casino
The casino posted revenue of R67,0 million, 13,8% up on the previous period.
EBITDA increased 10,6% to R32,6 million with an EBITDA:Revenue ratio of 48,7%.
Although pleasing, the casino"s revenue growth was limited by capacity
constraints. In order to accommodate increasing patronage the casino recently
received approval for a further three tables and 100 slot machines. Three tables
and 52 slot machines will be introduced immediately, with the balance following
an expansion of the casino to house the additional machines.
Further enhancing prospects, the adjacent golf development is nearing completion
and is expected to attract greater footfall to the casino. The proposed November
opening is motivating the casino"s immediate focus on increasing capacity.
Goldfields Casino
Notwithstanding difficult economic conditions and increased competition in the
region, trading at the casino was satisfactory. Revenue of R44,6 million saw an
increase of 8,3% compared to the previous period, while EBITDA rose 4,8% to
R20,0 million.
Following the award of a permanent casino licence by the Free State Gambling &
Racing Board, the casino is planning a R49,1 million expansion including a new
Salon Prive, additional restaurants and conference facilities. Construction will
commence once zoning permission has been granted, which is anticipated shortly.
CORPORATE ACTION
As announced on 13 February 2006 Gold Reef concluded a number of corporate
actions ("the transactions") in line with its objectives to consolidate its
gaming platform by increasing exposure to its existing operations and to
increase BEE beneficial shareholding in all properties to a minimum of 25,01%.
Akani Leisure Investments (Pty) Limited ("ALI") transaction
The ALI transaction has been implemented following approval from the Gauteng
Gambling Board. ALI has redeemed the participating preference shares and Gold
Reef has acquired a 49,97% direct interest in the ordinary share capital of ALI
in order to fund the redemption. Gold Reef"s economic interest in Akani Egoli
(Pty) Limited ("Akani Egoli") (which operates Gold Reef City) reduced from
83,94% to 74,99% resulting in a 25,01% BEE beneficial shareholding in Akani
Egoli.
Garden Route, Goldfields and Mykonos transactions
Gold Reef increased its beneficial shareholding in Garden Route Casino (Pty)
Limited from 42,5% to 85,0%. Black economic empowerment investors have an option
to increase their beneficial shareholding in Garden Route Casino to 25,01%. Gold
Reef similarly increased its beneficial shareholding in Goldfields Casino and
Entertainment Centre (Pty) Limited from 14,67% to 88,0%, and in West Coast
Leisure (Pty) Limited, which operates Casino Mykonos, from 54,3% to 60,3%.
The finalisation of the Goldfields and Garden Route transactions has resulted in
the consolidation of the two casinos" results, as opposed to the equity
accounting and proportionate consolidation bases that were used in the prior
period. This has increased minority interests and intangible assets.
Electronic bingo terminals
Gold Reef, together with other Gauteng casino licence holders, has launched an
application to set aside the decision of the Gauteng Gambling Board to approve
the use of electronic bingo terminals in licensed bingo premises in Gauteng. It
is anticipated that the matter will be heard towards the end of 2006.
SARS
Gold Reef is currently engaged in negotiations with SARS to resolve the matter
of the revised SARS assessments which disallow the deduction of pre-opening
expenses of casinos. In the interests of prudence, provision for the potential
tax liability has been made at the affected casinos.
POST BALANCE SHEET EVENTS
Silverstar Development Limited ("Silverstar")
As announced on 18 July 2006 Gold Reef and its BEE partners ("option holders")
have jointly acquired 92% of the issued share capital of Silverstar. Application
has been made to the Gauteng Gambling Board for permission to hold this
financial interest. Novomatic AG and Century Resorts Limited are respectively
disputing the option holders" right to exercise the option over the remaining 8%
of Silverstar and their right to terminate the casino management contract.
Senior council has advised that the options are valid and enforceable.
FUTURE DEVELOPMENT
Queenstown
Gold Reef has entered into a management agreement with and holds a 25% stake in
Lukhanji Leisure (Pty) Limited, which has applied for a gaming licence in
Queenstown in the Eastern Cape. The preferred bidder is expected to be announced
in November 2006, with the licence to be awarded by February 2007.
Vaal River Casino
Gold Reef has acquired controlling stakes in Vaal River Casino Company (Pty)
Limited, which is the only applicant for a licence in Sasolburg, and its
management company.
PROSPECTS
A number of Gold Reef"s casinos have refurbishment and development projects
underway which will drive future revenue growth.
The Silverstar development has commenced and is expected to open for trading
during the first quarter of 2008.
The transactions, including Silverstar, provide the opportunity to re-gear the
balance sheet through the reintroduction of debt. The subsequent de-gearing will
be earnings-enhancing. The group has entered into hedging transactions to manage
the risk of an increasing interest rate environment.
Dividend
In line with policy no dividend has been declared for the interim period.
