DECLARED DIVIDEND ANNOUNCEMENT ON GRINDROD LIMITED ENHANCED DIVIDEND SECURITIES

With reference to the dividend announcement, the Directors of Grindrod Limited
have declared a interim dividend of 28 cents per ordinary share payable on
Monday, 11 September 2006 to ordinary shareholders recorded in the books of the
company at the close of business on Friday, 8 September 2006.
Accordingly, the warrant holders of the Enhanced Dividend Securities, GNDIDA,
will receive a Grindrod Limited interim dividend of 28 cents per security on
Monday, 11 September 2006 in terms of the Cession clause incorporated in the
Supplement between the holders and Investec Bank Limited. The last day to
trade ("cum" the dividend) in order to participate in the dividend will be
Friday, 1 September 2006.
GNDIDA Enhanced Dividend Securities will commence trading "ex" the dividend from
the commencement of business on Monday, 4 September 2006, and the record date
will be Friday, 8 September 2006.
