DEALING IN SECURITIES BY DIRECTORS
JSE LIMITED PUBLIC SHAREHOLDER SPREAD REQUIREMENTS
On 22 May 2006, Metmar listed on the JSE Limited ("JSE") at 107 cents per share,
after implementing a reverse take-over of Heritage and placing 15% of the
company"s shares with members of the public (as defined in the JSE Listings
Requirements).
As at the date of the reverse listing, Heritage shareholders held 1% of the
Metmar shares in issue. In order to ensure that Metmar complied with the JSE
Main Board shareholder spread requirements, which provides that at least 20% of
the shares of the company should be held by members of the public, the Metmar
directors listed below ("the Metmar directors") undertook, within 6 months of
the date of listing, to collectively dispose of a further 4% of the Metmar
shares in issue, therefore complying with the JSE requirements.
The Metmar directors have now disposed of the 4% shareholding, as required by
the JSE ("the disposal"). The shares were placed with BOE (approximately 1%),
Coronation Capital (approximately 1%), Investec (approximately 1%) and
Clucasgray (approximately 1%) at 184 cents per Metmar share which represented a
discount of 5% to the market price at the time of the negotiations. The Metmar
directors retain an approximate 80% aggregate interest in Metmar after
implementing the disposal.
COMPLIANCE WITH PARAGRAPH 3.63 OF JSE LISTINGS REQUIREMENTS
Accordingly, in compliance with paragraph 3.63 of the JSE Listings Requirements,
the following information relating to dealing in Metmar shares by directors is
disclosed:
