Further to the terms announcement released on SENS on 2 August 2006
regarding the acquisition by GijimaAst of 50% of Thuso Information
Technology (Proprietary) Limited from Magoshi Investment (Proprietary )
Limited ("the acquisition"), shareholders of Gijima AST Group are advised
that all of the conditions precedent for the acquisition, inclusive of
Competition Commission clearance, have been fulfilled.
The small related party transaction is considered to be fair and reasonable
by KPMG Services (Proprietary) Limited, the independent expert in relation
to the acquisition. The independent expert"s report is available for
inspection at the Company"s registered office from 29 August 2006 to 26
September 2006.
