Pursuant to the scheme of arrangement proposed by ABF Overseas Limited ("ABF")
between Illovo and its shareholders, whereby ABF was to acquire 51% of the fully
diluted issued ordinary share capital of Illovo ("the ABF offer"), becoming
operative on 4 September 2006, and the ABF offer having been extended to all
participants in the Illovo Sugar 1992 Share Option Scheme, and in compliance
with paragraph 3.63 of the Listings Requirements of the JSE Limited, notice is
hereby given of the following dealings by a director of a major subsidiary
company, Zambia Sugar Plc, in Illovo"s securities :
