COMPLETION OF THE INTRODUCTION OF THESELE GROUP (PTY) LTD ("THESELE") AS AN
EFFECTIVE 10% BEE LINKED UNITHOLDER OF ACUCAP
Further to the circular posted to linked unitholders on 15 May 2006 and the
general meeting of linked unitholders held in Cape Town on Tuesday 30 May 2006,
approval was obtained for a specific issue of linked units for cash to Acucap"s
wholly owned subsidiary, CShell 299 (Pty) Ltd ("CShell") ("the specific issue"),
and for the subsequent introduction of Thesele as an effective 10% BEE linked
unitholder through the disposal by Acucap of its entire interest in CShell to
Thesele ("the disposal").
The specific issue was completed on 2 June 2006 when 7,620,994 linked units in
Acucap were issued to CShell. The disposal was effected on 7 August 2006, when
an agreement was entered into for the sale of Acucap"s interest in CShell to
Thesele. The disposal was ruled to constitute a merger by the Competition
Commission, and accordingly the disposal was made subject to the approval of the
Competition Commission. Clearance for the disposal was received from the
Competition Commission on 1 September 2006, and accordingly the disposal is now
unconditional.
