Monteagle - Results Of Extraordinary General Meeting

At the Company"s Extraordinary General Meeting, held on 7 September
2006, the resolutions to approve the following were approved by the
required majority:
- an increase in the authorised share capital and subsequent
capitalisation issue of 6,720,000 shares of US$1.50 each;
-changing the Company"s name; and
- the application for the listing of the new shares on the Luxembourg
Stock Exchange, London Stock Exchange and JSE Limited.
Accordingly, the capitalisation issue will proceed in accordance with
the timetable published in the circular to shareholders dated 14 August
2006, the relevant dates being:
No removals of shares between the Thursday 7 September to
European and South African branches of Friday 22 September 2006
the share register (both days inclusive)
Friday 15 September 2006
Record date for the European branch of
the register
Last day to trade in Luxembourg and
South Africa for the capitalisation
issue and change of name
New shares listed on London Stock
Exchange
Monday 18 September 2006
New shares listed on Luxembourg Stock
Exchange and JSE and commencement of

In accordance with Luxembourg law, the change of the Company"s name to
Marshall Monteagle Holdings Societe Anonyme is effective from the
conclusion of the said Extraordinary General Meeting and application
will be made to the Luxembourg and London stock exchanges for the name
under which the Company"s shares are listed to be changed as soon as
possible.
Application has been made to the Johannesburg stock exchange ("JSE"),
and approval received, regarding the change of name and the shares will
trade on the JSE under the new name of Marshall Monteagle Holdings
Societe Anonyme and the new short name of "Martell" from the 18th of
September 2006.
