RESULTS OF THE GENERAL MEETINGS AND THE SCHEME MEETINGS
ApexHi unitholders are advised that at the various general meetings and scheme
meetings of ApexHi shareholders and debenture holders held on Monday 18
September 2006, all resolutions relating to:
- the proposed amendments to ApexHi"s linked unit structure necessary to
create the new C units; and
- the acquisition by Clearwater Capital (Proprietary) Limited and a broad
based black economic empowerment ownership scheme of 30% of the C units
("the scheme"),
were approved by the requisite majorities.
The creation of the C units is subject to the implementation of the scheme which
remains subject to sanction by the High Court of South Africa (Witwatersrand
Local Division) and to a certified copy of the Order of Court sanctioning the
scheme being registered by the Registrar in terms of the Companies Act.
Copies of the Chairman"s report on the scheme meetings will be available to any
ApexHi shareholder or debenture holder on request, free of charge, at ApexHi"s
offices (3rd Floor, 2 Arnold Road, Rosebank, Johannesburg) and at their
registered address (2nd Floor, Broll House, 27 Fricker Road, Illovo) during
normal business hours from Tuesday, 19 September 2006 until Tuesday, 26
September 2006 being the date on which application will be made for the
sanctioning of the scheme.
A further announcement relating to the creation of the C units and the
implementation of the scheme will be released on SENS and published in the press
on Wednesday, 27 September 2006 after the application to sanction the scheme has
been heard.
