COMMENT
The operating subsidiary, Rex Trueform Clothing Company Limited, reports as
follows:
"The board is pleased to report that earnings for the year ended June 2006
amounted to 43.4 cents per share compared with a loss of 107.3 cents per
share in 2005. Headline earnings have however fallen short of expectations
having decreased by 25% to 46.7 cents per share.
Following a first half-year during which results were below expectations,
Queenspark produced a much improved performance in the second six months
with turnover improved by 9.5% over the previous year and by 8% on the
first half of the year.
Queenspark has not reached its full potential having achieved a moderate
increase of 1.7% in turnover for the full year which did not reflect the
buoyant conditions prevailing in the South African market. Margins were
maintained but increased occupancy and employment costs and expenses
incurred in the maintenance of infrastructure to support a higher level of
turnover translated into a reduced contribution to group earnings compared
to last year.
Scaled-down manufacturing operations continued at Salt River during the
period July to December 2005 resulting in a manufacturing loss during that
period. Also, the restructured Atlantis factory has not progressed to a
level of efficiency whereby it is operating profitably. These negatives
have diluted the positive Queenspark contribution to earnings.
Prospects
Although consumer demand has possibly peaked, prospects for the retail
business, barring unforeseen circumstances appear sound.
The Queenspark Summer range, currently in stores has been well received and
turnover which is currently exceeding targets will be further boosted by
the additional turnover generated by at least three new stores which will
be opened during the first half of the current year.
The expected improvement in Queenspark"s performance together with a
containment of losses at the Atlantis factory should have a beneficial
effect on the overall group result in 2007. It must however be noted that
the new import quota system introduced by the authorities is likely to have
an adverse effect on profits."
Dividend
In view of the level of earnings and cash resources available the board has
recommended that a dividend of 14 cents per share (32 cents per share in
2005) be declared on the ordinary and `N" ordinary shares. Shareholders
will be asked to consider and, if deemed fit, to approve this
recommendation of the directors at the annual general meeting of the
company to be held on 22 November 2006.
In terms of the articles of association, the 6% cumulative participating
preference shares carry the right to receive an additional 0.5% dividend
for every completed 1.25% dividend in excess of 2.5% declared on the
ordinary shares in any one financial year. Preference shareholders will
therefore be entitled to an extra dividend of 10.0% (20.0 cents per share)
which will be included in the half-yearly payment in December 2006.
An announcement detailing the terms of the dividend declaration will be
made on 22 November 2006, following the annual general meeting.
Review by independent auditors
The financial information has been reviewed by KPMG Inc. whose unqualified
review opinion is available for inspection at the company"s registered
office.
It is anticipated that the unqualified audit opinion will be issued once
the detailed financial statements have been finalised.
The annual report containing a detailed review of the operations of the
company together with the audited financial statements will be posted to
shareholders towards the end of October 2006.
