INTRODUCTION OF BLACK ECONOMIC EMPOWERMENT ("BEE")
Further to the announcement published in June 2006, the board of directors of
Winhold wishes to advise that its main operating subsidiaries, namely Gundle
Plastics Group (Proprietary) Limited and Inmins Trading (Proprietary) Limited,
have, with effect from 1 July 2006, each issued shares at nominal values to BEE
parties, resulting in the BEE parties now holding 25% of the respective issued
share capitals. The group businesses in which the BEE parties now effectively
participate are:

The BEE parties are:
- broad-based employee share incentive schemes, being The Gundle Plastics
Staff Share Incentive Scheme and The Inmins Trading Staff Share Incentive
Scheme;
- New Capital Investments (Proprietary) Limited, whose shareholders are:
Zola Fubu, Patience Mnxasana, Hale Qangule, Sipho Sono, Rakesh Bhika,
Luyanda Dudumashe, Don Saunders and Victor Sekese; and
- The Combi Trust, which holds the shares for Mr K K Combi.
Representatives of the BEE parties will be invited to join the board
of Winhold as non-executive directors.
