Trustco Group Holdings Limited Staff Share Incentive Scheme
In terms of the prospectus (paragraph 10) dated 29 August 2006 the Board has
approved the purchase of 13,362,860 shares at 320c (the offer price in the
prospectus) from Quinton van Rooyen, who is the controlling shareholder, to the
Staff Share Incentive Scheme. The Staff Share Incentive Scheme will only be
implemented after approval from shareholders in a general meeting. The sale will
reduce Quinton van Rooyen"s holding to 71,9%.
