In terms of the "Corporate Action" to ApexHi"s linked unit structure to
facilitate the proposed Black Economic Empowerment (BEE) transaction, Apexhi "A"
(JSE Code "APA"), unitholders will receive 45 new "C" units (JSE Code "AXC") for
every 100 "A" units held. With the creation of the new "C" units, ApexHi "A"
unitholders will be required to sell 30% of the new "C" units received by them
at a price of R2.00 per new "C" unit in terms of the BEE transaction. ApexHi
"A" unitholders will therefore receive 31.5 new "C" units per 100 "A" units held
(rounded up or down to the nearest full number of "C" units) and R27.00 in cash
per 100 "A" units held, payable on Monday, 16 October 2006, and the record date
will be Friday, 13 October 2006..
Holders of Investec Bank"s ApexHi "A" Enhanced Dividend Security (JSE Code
APAIDA) will receive the same treatment as holders of the underlying share.
Accordingly, for every 100 APAIDA held, holders will receive 31.5 new "C" units
and R27.00 in cash, or alternatively for every 1 APAIDA held, holders will
receive 0.315 new "C" units (rounded up or down to the nearest full number of
"C" units) and R0.27 in cash, payable on Monday, 16 October 2006, and the record
date will be Friday, 13 October 2006. As a result of this proposed
distribution, no adjustments will be made to either the strike price (R7.20) or
stop-loss level (R9.80) of Investec Bank"s ApexHi "A" ("APAIDA") Enhanced
Dividend Security.
The last day to trade in APAIDA in order to be entitled to the proposed
distribution is Friday, 6 October 2006 with the new "C" units to be listed and
tradable on Monday, 9 October 2006.
