This announcement is made in connection with the Proposals as defined in the
Consent Solicitation Statement dated 16 August 2006 (the "Consent Solicitation
Statement").
Further to the announcement on 29 September 2006 Capital and Counties Limited
redeemed all of the 11 1/4 per cent. First Mortgage Debenture Stock 2021 and the
9 7/8 per cent. First Mortgage Debenture Stock 2027 on 5 October 2006.
Capital & Counties Debenture PLC issued GBP354,876,000 5.562 per cent First
Mortgage Debenture Stock 2027 (the "Stock") on 5 October 2006. The Stock has
been admitted to the official list on the London Stock Exchange today.
