Offer by Gold Fields Limited to acquire the entire issued share capital of
Western Areas Limited
1. The Executive Committee of the Securities Regulation Panel ("the Panel")
has received a draft circular for approval in the above matter, and sought
advice and considered a fair and proper procedure in relation to the
offer.In order to give proper consideration to all aspects of the proposed
transaction, and to the Securities Regulation Code and the Rules ("the
Rules") which may be applicable thereto, and mindful of the requirements of
the Promotion of Administrative Justice Act, 3 of 2000 in regard to the
procedures to be adopted, the Executive Committee has determined that
interested parties (including the shareholders of Western Areas Limited
("Western Areas")) will be given an opportunity to make written and,
thereafter, oral submissions to the Executive Committee in regard to the
proposed transaction and the Rules that may find application in respect
thereof. Having reviewed the documentation that has been submitted to the
Panel thus far, but without having formed any views thereon, it appears to
the Executive Committee that the applicability of, inter alia,Rules 4, 5, 9
and/or 13 may require consideration. Shareholders will be given an
opportunity to make oral and written submissions on all aspects of the
transaction which it regards as relevant and necessary.
2. The Executive Committee has decided to follow the timetable set out
below in relation to the proposed transaction:
Monday, 9 October 2006 Formal invitations to make submissions
Tuesday, 10 October 2006 All written submissions to be delivered to
the Panel
Wednesday, 11 October 2006 Submissions to lie open for inspection
Thursday, 12 October 2006 Formal notice of procedure to be adopted at
hearing
Friday, 13 October 2006 Hearing of parties who have made submissions
Monday, 16 October 2006 Notification of decision of
executive committee
You are hereby invited, if you should wish to do so, to make submissions to
the Panel in accordance with the above timetable.
