KUMBA CIRCULAR TO SHAREHOLDERS RELEASED
Diversified mining and metals group Kumba Resources Limited (Kumba) today
released listing documents including a circular to shareholders setting out
details of the empowerment transaction involving Kumba, Anglo American plc, the
Industrial Development Corporation and Eyesizwe Mining (Proprietary) Limited.
The landmark transaction will see Kumba split into two empowered entities which
will both be listed on the JSE - Kumba Iron Ore Limited and Exxaro Resources
Limited. Kumba Iron Ore will be the JSE"s first pure iron ore play and Exxaro
will be South Africa"s flagship empowerment company.
The transaction is subject to the fulfilment of certain conditions that include
the approval by Kumba shareholders of the transaction. A general meeting of
shareholders to approve the transaction will take place on 2 November 2006.
Kumba Iron Ore will list on the JSE on 20 November 2006 and Kumba will re-list
as Exxaro on 27 November 2006.
The listing documentation is being distributed to stakeholders today and will be
