1. PROPOSED CHANGE OF NAME
1.1 INTRODUCTION
LPC Manhattan Moela (Pty) Limited is authorised to announce that the
Board of Directors of Interconnective Solutions Limited ("the
directors") has resolved, subject to the passing of the requisite
special resolution by shareholders of Isolution at a general meeting
to be held in the boardroom of the company at 372 B Oak Avenue,
Randburg, at 10h30 on Friday,
10 November 2006 to change the name of the company to FoneWorx
Holdings Limited.
1.2 REASON FOR NAME CHANGE
It is proposed that the name of Interconnective Solutions Limited be
changed to more correctly reflect the company"s marketing strategy and
to align the listed name with the main trade name of FoneWorx (Pty)
Ltd which is well-known in the market place.
2. SALIENT DATES
Circular and notice of general meeting Tuesday, 17 October 2006
to be posted to shareholders
Last day for lodging forms of proxy at Thursday, 9 November 2006
10h30 (although it is stated in the
circular that time for lodging the
forms is 10h00)
GENERAL MEETING at 10h30 Friday, 10 November 2006
Announcement on SENS Friday, 10 November 2006
Resolutions and name change certificate
to be registered by Registrar of
Companies by no later than Friday, 08 December 2006
Last day to trade shares in the name of
Interconnective Solutions Ltd in order
to be recorded as a shareholder by the
record date Friday, 15 December 2006
Trading in new shares under the JSE
code of FWX, short name of FoneWorx and
the ISIN ZAE000086237 commencing on Monday, 18 December 2006
Record date for determining those
shareholders whose shares will be
subject to the change of name Friday, 22 December 2006
Date of issue of new replacement share
certificates (see note 3 below) Wednesday, 27 December 2006
Dematerialised shareholders will have
their accounts at their CSDP or broker
updated on Wednesday, 27 December 2006
Notes:
1. The above dates and times are subject to amendments. Details of any
such amendment will be released on SENS and published in the press.
2. Shareholders will not be able to dematerialise or rematerialise their
Interconnective shares after Friday, 15 December 2006.
3. Interconnective shareholders who surrender their existing documents of
title after the record date, will have their share certificates
posted, by registered post, within five business days of receipt
thereof by the transfer secretaries at the risk of the shareholders
concerned.
3. DOCUMENTATION
The circular which has been approved by the JSE, will be mailed to
shareholders on or about 17 October 2006.
