Updated information on the capital reorganization
Further to the announcements on SENS on Friday, 15 September 2006 and
Friday, 13 October 2006, Metrofile Holdings is pleased to announce that:
- all conditions precedent to the rights offer have been fulfilled;
- the terms and conditions of the acquisition of the minority interests
in Metrofile (Proprietary) Limited were found to be fair and
reasonable from a financial perspective to Metrofile Holdings
shareholders by Deloitte & Touche Corporate Finance, the independent
expert appointed by Metrofile Holdings in terms of paragraph 10.4 of
the JSE Listings Requirements. A copy of this opinion will be included
in a circular to be sent to shareholders on Monday, 6 November 2006
("the circular"); and
- the circular has been approved by the JSE Limited and the Company
Registrar.
Shareholders are advised that the capital reorganisation will proceed in
accordance with the salient dates and times set out in the announcement
dated Friday, 13 October 2006.
