RESULTS OF GENERAL MEETING
Shareholders are advised that all of the ordinary resolutions relating to the
acquisition of 100% of African Harvest Fund Managers (Pty) Limited ("AHFM")
and African Harvest Collective Investments Limited ("AHCI") incorporated in
the Notice to Members included in the Circular to Shareholders dated 16
October 2006 ("the Circular"), were unanimously approved without modification
at the general meeting of the Company held at 10:30 on Tuesday, 31 October
2006.
Shareholders are furthermore advised that:
* all the conditions precedent pertaining to the acquisition by Cadiz of AHFM
referred to in the Circular have been duly fulfilled, and the effective date
of the acquisition of AHFM is 31 October 2006; and
* in relation to the acquisition of AHCI, the only outstanding condition
precedent is the approval by the Licensing Committee of the Financial Services
Board in respect of the change in shareholding, which will be tabled at their
next monthly meeting.
