NO CHANGE STATEMENT AND NOTICE OF ANNUAL GENERAL MEETING
1. NO CHANGE STATEMENT
Assore shareholders are advised that Assore posted its audited annual
financial statements for the financial year ended 30 June 2006 on
Tuesday, 31 October 2006. Assore was not required to publish an
abridged report at this date because the financial information
published on 31 August 2006 was unchanged.
The annual financial statements were audited by Ernst & Young and the
audit report is available for inspection at Assore"s registered
office.
2. NOTICE OF ANNUAL GENERAL MEETING
Notice is hereby given that the annual general meeting of Assore
shareholders will be held at Assore House, 15 Fricker Road, Illovo
Boulevard, Johannesburg, on Friday, 24 November 2006 at 10h30, to
transact the business as stated in the notice of annual general
meeting which is included in the annual report.
3. SPECIFIC ORDINARY SHARE REPURCHASE
Assore shareholders are further advised, in terms of section 11.25 of
the Listings Requirements of the JSE Limited, that included in the
notice of annual general meeting are details of the specific
repurchase by a wholly-owned subsidiary of Assore of approximately
0.21% of the issued ordinary share capital of Assore, from The
Standard Bank of South Africa ("Standard Bank"), at a maximum cash
consideration of R124.00 per ordinary share on 1 December 2006 or as
soon thereafter as possible("the specific repurchase").
The ordinary shares repurchased in terms of the specific repurchase
constitute Standard Bank"s entire shareholding in Assore and Standard
Bank will not vote such shares at the annual general meeting.
The pro forma financial effects of the specific repurchase on Assore
for the financial year ended 30 June 2006 are not material.
