TRANSFER OF LISTING TO THE ALTERNATIVE EXCHANGE ("Alt X") OF THE
JSE LIMITED ("JSE")
1. Introduction
Deloitte & Touche Sponsor Services (Proprietary) Limited is pleased to
announce that the JSE has approved the transfer of the listing of
Moneyweb to Alt X with effect from commencement of business on
Wednesday, 8 November 2006.
Deloitte & Touche Sponsor Services (Proprietary) Limited has been
appointed as Designated Advisor to the company.
2. Background
Moneyweb is an integrated media company with interests in the
electronic and print publishing fields. The group"s focus is on
supplying independent high quality and credible information to
targeted communities.

4. Rationale
The transfer to Alt X would:
- Enhance the group"s profile and product generation;
- Create a work environment that can attract, motivate, retain and
reward the best possible human resource that is in keeping with
the dynamic market position Moneyweb enjoys;
- Strengthen the group"s balance sheet by positioning it to raise
capital and take advantage of key opportunities arising from
strategic acquisitions; and
- Open new markets.
5. Share capital
The share capital of the company is set out as follows:
Authorised share capital : 500 000 000 ordinary shares of R 0,001
each
Issued share capital 75 446 944 ordinary shares of R 0,001
each
Share premium : R 6 188 000
Shares to be issued : Nil
6. Conclusion
As Moneyweb is already listed on the main board of the JSE, the
company has not published a pre-listing statement and investors
requiring further information on the company should request a copy of
the Annual Report which includes the audited financial statements for
the year ended 31 March 2006 either from Moneyweb at First Floor, West
Wing, President Place, Cnr Jan Smuts Ave and Bolton Road, Rosebank,
2196 or from the transfer secretaries Computershare Investor Services
2004 (Pty) Limited, 70 Marshall Street, Johannesburg, 2001.
Warning: In compliance with the Listings Requirements, shareholders are
advised of the risks of investing in a company listed on Alt X. The JSE
does not guarantee the viability or success of a company listed on Alt X.
In terms of Listings Requirements, the company is obliged to appoint and
retain a Designated Advisor, which is required to, inter alia, attend all
board meetings held by the company to ensure that all JSE Listings
Requirements and applicable regulations are complied with, approve the
financial director of the company and guide the company in a competent,
professional and impartial manner.
If the company fails to retain a Designated Advisor it must make
arrangements to appoint a new Designated Advisor within 10 business days,
failing which the company faces suspension of trading of its securities. If
a Designated Advisor is not appointed within a further one month, the
company faces the termination of its listing without the prospect of an
appropriate offer to minorities.
