UPDATE ON THE ACQUISITION OF AN INTEREST IN SIMPLY CEREAL (PTY) LIMITED ("SIMPLY
CEREAL")
INTRODUCTION
Shareholders are referred to the announcement published in the press on 17
August 2006 wherein the Board of Directors of Conafex announced that the company
has acquired an interest in Simply Cereal through its wholly owned, South
African subsidiary, Conafex Cape Holdings Limited. Details of this transaction
were set out in the aforementioned announcement and as the transaction is at
arms length it does not require shareholder approval. The aforementioned
announcement included a statement that a circular letter giving full details of
the transaction would be sent out to shareholders within 28 days, however, in
terms of Luxembourg rules a circular is not required for this transaction,
therefore a circular will not be mailed to shareholders. Thus, this announcement
appears for information purposes only.
GENERAL PROVISIONS OF THE ACQUISITION
Implementation of certain of the provisions of the agreement between the parties
concerned required the approval of the Exchange Control Division of the Reserve
Bank of South Africa, which approval has been obtained.
