RESULTS OF ANNUAL GENERAL MEETING
Ernst & Young Sponsors (Proprietary) Limited is authorised to announce
that at the annual general meeting ("AGM") of shareholders held at 11:00
on Wednesday, 15 November 2006 the requisite majority of shareholders
approved the ordinary resolutions as contained in the notice convening
that general meeting, relating to:
- the formal adoption of the annual financial statements for the
financial year ended 30 June 2006 and the approval of the
remuneration of directors as reflected in those statements;
- the re-election of the following directors:
A L Carleo-Novello
P Nucci
P Senatore
- the authorisation of the directors to determine the remuneration of
the auditors (as reflected in the financial statements) and to
confirm the re-appointment of Ernst & Young as auditors for the
forthcoming financial year;
- to authorise the directors to issue shares for cash either in terms
of a specific or general authority and/or;
- renewal of the authority granted to the directors to issue the
unissued ordinary shares of the company.
In addition, the following special resolution was also approved by the
requisite majority of shareholders:
- to authorise the buy-back of the shares of the Company.
REGISTRATION OF SPECIAL RESOLUTIONS:
At the date of this announcement the special resolution outlined above
has not yet been registered with the Registrar of Companies, albeit that
this process will be completed in the next few days.
