Acquisition during an offer period
The shareholders of Gold Fields and Western Areas Limited ("Western Areas
shareholders") are referred to the announcement published by Gold Fields on the
Securities Exchange News Service ("SENS") of the JSE Limited ("JSE") on 11
September 2006 and the offer circular dated 30 October 2006 where shareholders
were advised that JCI Limited (together with its subsidiaries "JCI") had granted
Gold Fields a call option and JCI had been granted a put option, subject to,
inter alia, approval by a simple majority of shareholders of JCI in general
meeting, which approval was granted on 14 November 2006, to acquire the balance
of the approximately 9.96 million Western Areas shares held by JCI.
In accordance with Rule 7.1(a) of the Securities Regulation Code, shareholders
are advised that Gold Fields has exercised the option to acquire the additional
9.96 million Western Areas shares from JCI. The consideration payable for these
shares is 35 Gold Fields shares for every 100 Western Areas shares acquired.
