Earnings, Headline earnings and Core earnings per share and per linked unit The
earnings, headline earnings and core earnings calculations are based on the
weighted number of linked units ranking for distribution of 192 436 050 (2005:
113 069 208).
Earnings and headline earnings per share are obligatory in terms of accounting
standards, but are not meaningful to investors as the shares are traded as part
of a linked unit and all distributions are in the form of interest on the
debenture portion of the linked unit.
Earnings per linked unit of R205 754 000 (2005: R171 695 000) is calculated on
the net income before debenture interest but after taxation.
Headline earnings per linked unit is calculated on the net income before
debenture interest but after taxation and headline reconciling items.
Core earnings per linked unit is calculated by adding to headline earnings,
realised surpluses on disposal of investment properties (net of capital gains
tax), distribution prepayments received, amortisation of debenture discount and
profit on realisation of investments previously recognised as equity (net of
taxation). This calculation is provided for the benefit of stakeholders as the
directors are of the opinion that it provides a more accurate reflection of the
group"s cash profits for the year.
The fully diluted earnings and headline earnings per linked unit is calculated
on 197 419 749 (2005: 125 493 675) linked units, being all the linked units in
issue as well as all the B debentures to be converted between November 2006 and
October 2008, and the net income of R204 754 000 (2005: R171 695 000) before
debenture interest but after taxation.

Comments
RETURNS
Distributions for the year to 31 October 2006 increased by 12% over 2005,
exceeding the forecast of 8%. Unitholders who held their units for the full year
experienced a return of nearly 50% for the second consecutive year, 10,3%
earnings and 39% capital appreciation.
PROPERTY ACTIVITIES
In line with the Group"s policy of active asset management two smaller
properties which were not regarded as being part of the long-term core portfolio
were disposed of. These sales generated profits before taxation of R4.56
million, and core earnings before taxation of R13.88 million. As part of the
strategy of growing the fund by the acquisition of good quality properties, the
group took transfer of ten properties announced at the end of 2005 at a cost of
R839.5 million. A further thirteen properties with a value of R493.7 million
were acquired and transferred during the year, while contracts for the
acquisition of a further four properties with a value of R229.5 million were
signed before the year-end. Two of these properties have already been
transferred to the group, with the transfer of the remaining properties expected
to be completed by January 2007.
The value of the group"s investment properties totalled R2 803 434 million at
year-end and will increase to R3 032 934 million after transfer of these
properties.
A total of 104 300 m2 of space was let during the 2006 financial year,
representing 17% of the portfolio"s total lettable space. Of this, 47 800 m2
related to new lettings and 56 500 m2 to renewals of existing leases. The
vacancy rate of the portfolio was less than 3.0% at year-end.
NET ASSET VALUE
Investment properties that generate income are carried at fair value based on
valuations by professional independent valuators, less the cumulative straight-
line rental adjustment. The valuators have appropriate qualifications and
extensive experience in property valuations. Fair value is determined by
discounting expected future cash flows at appropriate market interest rates.
Valuations are carried out on an annual basis. This year"s valuation resulted in
an increase in the portfolio value of R139.1 million, before taking into account
the straight-line rental adjustment. As a consequence net asset value per linked
unit rose to R5.82 at year-end.
DEBT MANAGEMENT
The group"s gearing level dropped during the course of the year from 55.2% to
44.1%. The restructure of the group"s debt funding, referred to in last year"s
report has been completed, and during the year conduit funding was utilised in
respect of R500 million of debt, resulting in reduced cost of borrowings.
PROSPECTS
The restructured balance sheet, lower gearing costs and the current strong
demand for space bode well for the group"s performance going forward.
Subsequent Events
On 20 October 2006 Growthpoint Properties Ltd announced that it had acquired a
41.9% interest in Paramount and would be extending a mandatory offer to
minorities on the same terms and conditions as it had acquired its interest. A
circular to linked unitholders is in the final stages of preparation and will be
posted early next week.
