Results of general meeting
At the general meeting of shareholders of Pasdec held at
the company`s legal offices, 155 5th Street, Sandown,
Sandton at 09:00 on Friday, 29 December 2006, the
requisite majority of shareholders passed the following
ordinary resolutions:
Ordinary The disposal by the company of 67.4%
resolution No.1: of its holding in its wholly-owned
subsidiary Pasdec Automotive
Technologies (Proprietary) Limited;
Ordinary The disposal by Femco Properties
resolution No.2: (Brits) (Proprietary) Limited of the
immovable property owned by it;
Ordinary The disposal, by the company and to
resolution No.3: the extent necessary, Femco
(Proprietary) Limited ("Femco"), of
the entire issued share capital of and
claims against Femco;
Ordinary The disposal by Femco Mining Motors
resolution No.4: (Proprietary) Limited of certain of
its assets and liabilities;
Ordinary The disposal by Arambro Investments
resolution No.5: (Proprietary) Limited of the immovable
property owned by it;
Ordinary The application to the JSE Limited
resolution No.6: ("the JSE") to delist Pasdec from the
main board of the JSE on condition
that ordinary resolution 1 to 5 above
are passed.
The salient dates of the proposed transactions as
contemplated in the circular posted to the shareholders on
14 December 2006 are as follows:

Friday, 29 Publish results announcement on SENS

Friday, 12 January Last day to trade
2007
Monday, 15 January Suspension of Pasdec on the JSE from
2007 commencement of business
Friday, 19 January Record date
2007
Monday, 22 January Expected date of termination of
2007 listing of Pasdec
Shareholders are advised that no dematerialisation of
Pasdec shares will take place after Friday, 12 January
2007.
