Clearance to deal has been obtained in all instances.
Mr. Schumacher is a Board member and a shareholder of Top-Gold AGmvK ("Top-
Gold"), a fund that originally held 29% of the issued capital of Simmers at the
time of the rights offer in June 2004. As the Simmers shares have increased in
value Top-Gold has been required by the regulatory authorities in Liechtenstein
to reduce this shareholding. Because Mr Schumacher is a director the JSE has
ruled that these trades must be subject to the rules concerning Directors`
trading.
