WITHDRAWAL OF CAUTIONARY ANNOUNCEMENT
The directors refer to the detailed cautionary announcement published on
SENS on 15 November 2006 and the pro forma financial effects published on
SENS on 04 December 2006, whereby DataPro Group will acquire 100% of the
shares in and loan account claims against Orion Telecommunications
(Proprietary) Limited (Orion) with effect from 1 December 2006 from the
shareholders of Orion, subject to certain conditions precedent.
Shareholders are advised that a substantive condition precedent, relating
to pre-emptive rights to shares in Orion, has now been waived and
accordingly the cautionary announcement in relation to the transaction is
now withdrawn.
A circular to shareholders will be posted to shareholders within 28 days of
this announcement and a further announcement will be made on SENS as soon
as the split of the Purchase Price between cash and Vendor Shares, the
issue price of the shares and any of the remaining conditions precedent
have been fulfilled.
