COMPETITION COMMISSION APPROVAL OF THE ACQUISITION OF ORION TELECOM INVESTMENTS
(PROPRIETARY) LIMITED (`ORION`)
The directors refer to the announcements published on SENS relating to a
detailed cautionary announcement published on 15 November 2006, the pro forma
financial effects on 04 December 2006 and withdrawal of cautionary announcement
on 09 January 2007, whereby DataPro Group will acquire 100% of the shares in and
loan account claims against Orion with effect from 01 December 2006 from the
shareholders of Orion, subject to certain conditions precedent.
Shareholders are advised that Competition Commission has approved the
acquisition of Orion unconditionally.
A circular to shareholders will be posted to shareholders within 28 days of this
announcement and a further announcement will be made on SENS as soon as the
split of the Purchase Price between cash and Vendor Shares and the issue price
of the shares has been determined and when any of the remaining conditions
precedent have been fulfilled.
