ACQUISITION OF FUTURE FINANCE BECOMES UNCONDITIONAL
On 30 November 2006, Blue announced that it had entered into an agreement for
the acquisition of 100% of the ordinary shares in, and shareholders claims
against Micro Access Financial Services (Proprietary) Limited, trading as Future
Finance from Capital Alliance Finance (Proprietary) Limited, The Rekon Trust and
management, for a purchase consideration of R129 930 584 ("the Future Finance
Transaction").
Shareholders are hereby advised that all of the remaining conditions of the
Future Finance Transaction, namely:
- the satisfactory completion of a due diligence by Blue;
- the finalisation of management agreements; and
- the approval of the Competition Commission
have been fulfilled and that the Future Finance Transaction has now become
unconditional.
