RESULTS OF MEETINGS REGARDING A SPECIFIC ISSUE OF UNITS AND AMENDMENTS OF
DEBENTURE TRUST DEED
1. Introduction
Shareholders and debenture holders are referred to the circular issued to the
Company`s shareholders and debenture holders on 18 December 2006, notifying them
of general meetings of the shareholders and debenture holders at which
respective meetings it will be proposed:
- that Vukile proceeds with a specific issue of units for cash to raise
R200 million ("the specific issue"); and
- that Vukile`s Debenture Trust Deed be amended.
2. Results of the meeting regarding the specific issue
At the general meeting of ordinary shareholders of Vukile held on 12 January
2007, all the resolutions were passed with the requisite majorities. As all the
conditions precedent have been fulfilled, Vukile will proceed with the
implementation of the specific issue.
The parties to whom the units will be issued have undertaken to pay the
subscription monies by no later than Friday, 19 January 2007. Dematerialised
unitholders will have their safe custody accounts with their CSDP or broker
updated on Monday, 22 January 2007.
3. Listing of new units on the JSE
The JSE has granted the listing of 23 121 387 new units to be issued in terms of
the specific issue from the commencement of trade on Monday, 22 January 2007.
4. Results of the meeting regarding the amendments to the Debenture Trust Deed
At the general meeting of debenture holders of Vukile held on 12 January 2007,
all the resolutions were passed with the requisite majorities. The Debenture
Trust Deed will therefore be amended in accordance with the resolutions.
