CIRCULAR TO SHAREHOLDERS IN RESPECT OF THE SCHEME
Consol shareholders ("shareholders") are referred to the announcements dated 18
December 2006 and 16 January 2007 in respect of the scheme of arrangement
proposed by Newshelf 809 (Proprietary) Limited between Consol and all of its
shareholders ("the scheme"). Shareholders are advised that the circular to
shareholders providing further information in respect of the scheme and
containing, inter alia, a notice of scheme meeting, the scheme of arrangement,
an explanatory statement, an Order of Court, a form of proxy and a form of
acceptance, surrender and election ("the circular") will be posted to
shareholders today and that a copy of the circular is currently available on
