RESULTS OF THE SCHEME MEETING
1. INTRODUCTION
Consol shareholders ("shareholders") are referred to:
- the announcements dated 18 and 27 December 2006, 16 January 2007 and 2
February 2007 in which, inter alia, shareholders were advised of the scheme of
arrangement proposed by Newshelf 809 (Proprietary) Limited ("Newshelf 809")
between Consol and all of its shareholders ("the scheme") and the important
dates and times in respect of the scheme; and
- the circular dated 19 January 2007 which has been sent to shareholders
("the circular").
2. RESULTS OF THE SCHEME MEETING
Shareholders are advised that:
- the scheme has been approved by the requisite majority of votes at the
scheme meeting held today, Tuesday, 6 February 2007;
- shareholders recorded in the register at 17:00 on Thursday, 1 February 2007
("scheme members") present in person or represented by proxy holding 216 588 114
Consol shares voted in favour of the scheme, which votes represent 92.39% of the
total number of votes exercised by the scheme members present either in person
or represented by proxy at the scheme meeting; and
- the scheme is still subject to the fulfilment of certain conditions, the
details of which are set out in the circular.
3. CHAIRPERSON`S REPORT
Copies of the Chairperson`s report on the scheme meeting will be available to
any scheme member on request, free of charge, from Wednesday, 7 February 2007
until the date on which application is made to the High Court to sanction the
scheme, which is expected to be Tuesday, 13 March 2007, during normal business
hours, at the offices of Consol, Consol House, Osborn Road, Wadeville and at the
offices of The Standard Bank of South Africa Limited, 3 Simmonds Street,
Johannesburg.
