DIRECTOR`S DEALINGS IN SECURITIES
1. Background
Shareholders of DataPro Group are referred to the announcement dated 29
August 2006 in which it was announced that DG Reed purchased the vendor
consideration shares ("the Shares") relating to the acquisition by DataPro
Group of Definity Telecommunications (Proprietary) Limited and that DG Reed
would continue to hold such shares or may enter into a transaction with a
strategic partner of the DataPro Group at a future point in time.
DG Reed entered into agreements to dispose of a portion of the Shares to
the Metier Group (including its Associates), a strategic partner of DataPro
Group, as well as other executive directors of the Company, on 31 August
2006. As there were certain conditions precedent outstanding at that time,
which have now been fulfilled, and due to the fact that DataPro Group had
entered a closed period before such share transfers could be effected, such
transfers were not effected at that date. The disposal of such shares has
now been implemented.
