RESULTS OF GENERAL MEETING REGARDING THE ISSUE OF ORDINARY SHARES TO BEE
CONSORTIUM
Shareholders are referred to the press announcement of Monday, 18 December
2006 and the circular issued to the ordinary shareholders of Capitec
(`Capitec shareholders") on Tuesday, 30 January 2007 in terms of which the
Capitec board of directors ("the directors") proposed a specific issue of 10
000 000 ordinary shares at 3 000 cents per share in the authorised share
capital of the company to a consortium of black individuals, companies and
trusts ("the proposed specific issue"). The proposed specific issue was
subject to Capitec shareholders approving same in a general meeting that was
held on Thursday, 15 February 2007.
The directors of the company are pleased to announce that the resolutions
tabled at the aforementioned meeting were approved by the requisite majority
of Capitec shareholders.
