COMMENTARY ON RESULTS
1. Distribution to Unitholders
The directors are pleased to announce that the distribution has been
increased from 41,5 cents in the previous interim period to 45 cents for
the six months to 31 December 2006.
This 8,4% (2005: 6,4%) increase in distribution on the previous
comparable period is in line with the company`s strategy and history of
delivering sustainable growth in distribution to its unitholders.
The total return delivered to unitholders for the 12-month period ended
31 December 2006 was 15,4%.
2. Financial Review
Revenue increased by 12,8% to R177,6 million compared to the previous
interim reporting period. This increase is higher than the average
rental escalations due to property acquisitions and capital projects.
A profit of R2 million was realised through the disposal of Paramount
Properties` linked units, which were acquired as part consideration from
the sale of a property in the previous year.
The cost to income ratio of the portfolio has increased from 23,4% to
25,7%. This is attributable to the increased retail component of the
portfolio and additional provisions for the impairment of receivables.
Interest paid increased by 13,9% to R64,3 million mainly as a result of
the acquisition of properties, capital projects and the increase in the
interest rates.

Acquisitions
During the six months to 31 December 2006, the 2 310 m2 second phase of Palm
Springs Shopping Centre was acquired by the company at a cost of R26,9
million. This strengthened the shopping centre by the inclusion of new
national tenants: Standard Bank, First National Bank, Capitec Bank,
Lewis Stores and Best Electric.
Disposals
In line with the company`s strategy of maintaining the quality of the portfolio
11 properties were disposed of for R101,8 million generating a book
profit of R10,2 million and a cash profit of R25,3 million. These
properties no longer met the company`s long-term investment criteria.
Capital Projects
This expenditure of R4,3 million relates mainly to the completion of the Grand
Central Shopping Centre expansion to accommodate Jet and the upgrade of
Morone Mall Shopping Centre in Burgersfort.
Revaluation
The value of the portfolio appreciated by R176,8 million from June 2006 which
represents a 7,6% increase in the portfolio. This increase resulted from
the continued improvement in property market fundamentals and the
underlying quality of the company`s properties.
Future acquisitions and disposals
The company purchased 2 Drakensberg Road effective 1 January 2007 for R30,6
million. This 7 076 m2 light industrial warehouse consisting of seven
units is situated in Longmeadow Business Estate, Gauteng. The building
is fully tenanted with two leases expiring in April 2008 and the balance
extending to
June 2010.
The company has disposed of three properties where transfer is still pending,
being 24 Sturdee, Kathea House and Kent Road Three. These properties
were sold for R23,4 million.
Occupancies
Occupancy levels increased from 97,3% at 30 June 2006 to 98,3% at 31 December
2006. The high occupancy level is expected to continue.
Lease expiry profile
The lease expiry profile of the company continues to look favourable. 29% of
leases expire beyond December 2010 and no more than 18% of leases expire
in any earlier period. This is in line with the company`s strategy of
having no more than 20% of leases expiring in any one year.
4. Borrowings
The loan to value ratio of 43,8% remains well within the company`s
gearing limit of 55%. This provides the opportunity to acquire more
properties without having to issue additional linked units. The hedging
profile has not changed significantly since June 2006 with 72,7% of
borrowings being fixed beyond September 2009. In addition, the company
has entered into short-term interest rate swap agreements for a portion
of it`s borrowings to minimise the impact of further rate increases to
year end.
5. NIB Finance Structure
Three properties, purchased as part of a portfolio of properties
acquired on the listing of iFour, had been financed by way of a funding
structure with NIB and Nedbank. The properties have appreciated by R52
million since their acquisition to a current value of R141 million.
The company has been advised by Nedbank that SARS intend to assess the
transactions in a manner contrary to that initially envisaged. This may
result in an additional cost to iFour. The directors based on the
information available are of the opinion that the above is not expected
to have a material impact on future distributions of the company.
6. Prospects
The continued strength of the property market should enable iFour to
expand its property portfolio and ensure that continued sustainable
growth in distributions is delivered to unitholders. iFour will continue
to pursue opportunities for expansion of it`s investments in retail
centres in outlying suburbs and rural towns in terms of its stated
strategy. Several acquisitions are close to realisation.
7. Distribution Declaration per Linked Unit
Notice is hereby given that a distribution of 45,00 cents (2005: 41,50
cents) has been declared and approved by the board of directors for the
period ended 31 December 2006. Please refer to the "Investors
distributable earnings" insert for the basis of the calculation of
distributable earnings.

NOTES TO THE FINANCIAL STATEMENTS
1. Basis of preparation
The unaudited interim financial report has been prepared in
accordance with International Financial Reporting Standards
("IFRS"), IAS34 - Interim Financial Reporting and the requirements
of the Companies Act in South Africa. The basis of preparation is
consistent with the group`s most recent annual financial
statements.
2. Related party transactions
Related party transactions concluded during the reporting period
were concluded at arm`s length terms as would be negotiated between
unrelated willing parties.
3. Deferred income tax liabilities
In compliance with IFRS, deferred taxation on the property
revaluations has been provided at the normal taxation rate of 29%
and not at the capital gains taxation rate of 14,5% that will
actually be paid.
4. Restatement of comparatives
In compliance with IFRS, the December 2005 comparatives have been
restated. Where linked units are issued at a premium, the premium
net of share issue expenses is allocated to debenture capital
premium. The deemed debenture premium is amortised through the
income statement over the life of the debentures, and each year the
amount amortised is transferred to share capital and premium
through the statement of changes in equity. This adjustment has no
cash flow implications.
